Use of the website of Top 100 Women Pty Ltd, www.top100women.com.au, is governed by these terms and conditions.

Memberships are governed by these terms and conditions.
C. By applying for a Membership, you agree to be bound by these Terms. We reserve the right to amend these
Terms at any time, with the most recent version available on our website
1. Definitions and Interpretation
1.1 Definitions
In this document the following definitions apply unless the context requires otherwise:

Australian Consumer Law means Schedule 2 of the Competition and Consumer Act 2010 (Cth).
​
Background IP Rights means Intellectual Property Rights owned or controlled by a party, including Intellectual Property
Rights developed prior to or independently of this Agreement that a party decides to make available for the purpose of
performing the Services.
​
Business Day means a day that is not a Saturday, Sunday or any other day that is a public holiday or bank holiday in the
place where an act is to be performed or a payment is to be made.
​
Claim includes, in relation to a person, a demand, claim, action, dispute or proceeding made or brought by or against the
person, however arising and whether present, unascertained, immediate, future or contingent.
Confidential Information means all information (regardless of form) belonging to a party or any related entity of that party
which:
(a) is regarded by that party as confidential to it or can reasonably be inferred to be confidential from the circumstances in which it is disclosed;
(b) is disclosed to or observed by another party for the purpose of or in connection with this Agreement; and
(c) includes all notes, compilations, analyses, extracts, summaries and other records prepared by or for the benefit of a party in connection with the performance of this Agreement,

but does not include information that is or becomes known or generally available to the public, except if this happens
because of a breach of any obligation of confidence (in which case it remains confidential).

Discloser means a party that supplies Confidential Information to the Recipient.
​
Force Majeure Event means any event that is outside the reasonable control of the affected party and could not have been
prevented by that party taking reasonable steps.
​
Government Authority means any government or any governmental, semi-governmental, administrative, fiscal or judicial
body, department, commission, authority, tribunal, agency or entity.
​
GST has the meaning it has in the GST Act.
​
Indemnified Parties has the meaning in clause 14.
​
Intellectual Property Rights means all intellectual property rights of whatever nature including all rights conferred under
statute, common law or equity, including all copyrights, patent rights, trade mark rights (including any goodwill associated
with those trade mark rights), design rights and trade secrets together with any documentation relating to those rights, but
excluding Moral Rights.
​
Jurisdiction means Queensland, Australia.
​
Loss includes any damage, loss, cost, liability or expense of any kind and however arising (including as a result of any Claim)
including penalties, fines and interest whether prospective or contingent and any amounts that for the time being are not
ascertained or ascertainable.
​
Materials means the documents, reports, information and data to be supplied by the Member to Top 100 Women, as
identified by Top 100 Women as needed to deliver the Services.
​
Member means individuals and corporations who have signed up and paid a membership fee to become a member of the
Top 100 Women
​
Member Fee Means fee paid to Top 100 Women to become a Member. Fees of which are outline on the website
www.top100women.com.au and may be changed from time to time
​
Member Representative means the representative in charge of administering this Agreement on the Member’s behalf
with authority to:
(a) exercise all the powers and functions of the Member arising out of or in connection with this Agreement; and
(b) bind the Member in relation to any matter arising out of or in connection with this Agreement, as detailed in Schedule 1, or as otherwise provided by notice to Top 100 Women from the Member.

Member Terms the terms in which members abide by in signing up and becoming a member of the Top 100 Women.
​
Moral Rights means:
(a) any moral rights arising under the Copyright Act 1968 (Cth); and
(b) any other similar rights arising under any other law in Australia.
​
Notes means notes that relate to summaries and copies of and extracts from, and advice or analysis based on or
incorporating, any Confidential Information whether in documentary, visual, machine readable or other form.
​
Recipient means a party to which Confidential Information is supplied by the Discloser.
​
Representative means an officer, employee or agent of a party.
​
Right includes a legal, equitable, contractual, statutory or other right, power, authority, benefit, privilege, remedy,
discretion or cause of action.
​
Special Conditions means the special conditions of this Agreement
​
Specified Purpose means the purpose for disclosing and using the confidential information as described in Schedule 1.
Tax means any tax, levy, charge, franchise, impost, duty, fee, rate, deduction, compulsory loan or withholding, which is
assessed, levied, imposed or collected by any Government Agency and includes capital gains tax, fringe benefits tax,
income tax, value added tax, GST, sales or use tax, training guarantee levy, profits tax, undistributed profits tax, payroll or
employment tax, group tax, PAYG or PAYE withholding tax, land tax, import or customs duty, excise, municipal rates, and
any interest, fine, penalty, charge, fee or any other amount imposed on or in respect of any of the above.

1.2 Interpretation
In interpreting this document, unless the context provides otherwise:
​
(a) words or expressions used in this document, which are defined in the A New Tax System (Goods and Services Tax) Act 1999 (Cth), the Personal Property Securities Act 2009 (Cth) or the Corporations Act 2001 (Cth) have the
same meaning in this document;
(b) the singular includes the plural and vice versa, and a gender includes other genders;
(c) another grammatical form of a defined word or expression has a corresponding meaning;
(d) a reference to a party means a party to this document and includes the party’s executors, administrators,
successors, and permitted assigns;
(e) a reference to a person includes a firm, individual, corporation, association, government body or other corporate
body;
(f) an obligation or liability assumed by two or more persons binds them jointly and severally and a right conferred
on two or more persons benefits them jointly and severally;
(g) a rule of construction does not apply to the disadvantage of a party because the party was responsible for the
preparation of this document or any part of it;
(h) if a day on or by which an obligation must be performed or an event must occur is not a Business Day, the
obligation must be performed, or the event must occur on or by the next Business Day;
(i) a reference to a law or statute includes regulations under it, re-enactments and replacements; and
(j) headings and table of contents are for ease of reference only and do not affect interpretation.
2. The website
2.1 The website may consist of information, interactive courseware, opinions, text, graphics, animations, links, audio,
video, software, photos, music, sounds, and other material and data provided by Top 100 Women, third parties or other
users formatted, organised, and collected in a variety of forms including, without limitation, courses, bulletin board
postings, databases, and electronic mail services.
2.2 The website provides information of a general nature to members of the public, and advanced features for
registered users such as commenting on material or engaging in online collaboration.
3. Use of this website
3.1 By accessing and using the features of the website users agree to be bound by these Terms and Conditions as
amended by Top 100 Women from time to time.
3.2 Breach of these Terms and Conditions may result in registered users’ access to the advanced features of the website
being cancelled at the sole discretion of Top 100 Women.
3.3 These Terms and Conditions must also be read in conjunction with the Privacy information of the public aspects of
the Top 100 Women website.
3.4 Registered users will be responsible for the confidentiality and use of their username and password. Users
understand that they will be solely responsible for all information electronically transmitted, or use of any data,
information, or services retained, using their username and password.
4. Third party content and links
4.1 The website may include third party content which is subject to that party’s terms and conditions of use. Nothing on
this website should be construed as granting any licence or right for users to use that content. Users should consult the
third party’s terms and conditions of use in relation to any third-party content.
4.2 The website includes links to third party websites which are not related to Top 100 Women and in relation to which
Top 100 Women has no control or interest. Links to third party websites do not constitute any endorsement or approval of
those websites or of the owners of those websites.
4.3 Top 100 Women is not responsible for the accuracy of information contained on other websites accessed by links
from this website and makes no warranties that the information contained on this website or any links from this website
are free of infection by computer viruses or other contamination.
5. Intellectual Property Rights
(a) Top 100 Women owns all Intellectual Property Rights
(b) Top 100 Women grant the Member an irrevocable, royalty free, world-wide licence to use and exploit the Intellectual Property Rights strictly for the completion of the Project, its ongoing management and administration and the subsequent data analytics
(c) Top 100 Women will ensure that all Moral Rights that exist are waived, but such waiver will only be to the extent that the Intellectual Property Rights are used for the Purpose.
(d) The Member grants Top 100 Women an irrevocable, royalty free, world-wide licence (or sub-licence) to use their data
6. For the purpose of Top 100 Women providing the Services
Material appearing on this website is subject to copyright vested in Top 100 Women or third parties. All content on this
website is protected by Australian and International copyright and other intellectual property laws. Users may not do
anything which interferes with or breaches those laws or the intellectual property rights in the content.
All other use of the website content is not permitted without the copyright or trademark owner’s permission. Top 100
Women asserts the right to be recognised as the author of the material and the right to have its material remain unaltered
Apart from any use as permitted under the Copyright Act 1968 (Cth), all other rights are reserved

7. Contributing content
7.1 If users submit content for the website in any format, including text, photographs, graphics, video or audio, they
grant Top 100 Women an irrevocable, non-exclusive, royalty-free, perpetual licence to publish that content on the website.
Users acknowledge that content submitted by them may be accessible by the public through the website.
7.2 Users agree that Top 100 Women can use that content in any way, now and in the future. Top 100 Women also
reserves the right not to use or publish on the website any submitted content.
7.3 Users warrant that they have all of the necessary rights, including copyright, in the content they contribute, that
their content is not defamatory and that it does not infringe any law. Users also warrant that the content they contribute
complies with any relevant professional obligations.
7.4 Users waive any moral rights in their contribution for the purposes of its submission to and publication on the website.
7.5 Top 100 Women does not provide any protection as against third parties to the intellectual property in any material
submitted. By submitting material, users warrant that they have all necessary permissions and licences for the use of that
material and agree to indemnify Top 100 Women against any loss, liability, claim or demand (including legal fees) claimed
by any third party arising from a breach of that warranty or these terms and conditions.
8. Collaboration spaces and user submitted content
8.1 Users acknowledge that the website is created, managed, and administered by Top 100 Women and may provide
opportunities for registered users to post comments and collaborate with other users. However, Top 100 Women is not
responsible for, or adopts as a statement of its own, content posted by other users, such as comments or other material.
8.2 Users recognise that Top 100 Women cannot and does not intend to screen communications in advance, nor does it
exercise any control in advance whatsoever over the content of the information passing through the website submitted by
users.
8.3 Notwithstanding the above, Top 100 Women will monitor the content of the website from time to time and will
remove any content it deems to be inappropriate or unacceptable to protect itself and users.
9. Goods and services tax
GST will be added to the consideration paid or payable for each taxable supply made by a party to this document to the
other, provided the supplier provides a tax invoice for that supply. GST means the goods and services tax as provided for
by the A New Tax System (Goods and Services Tax) Act 1999. Any expression that is defined in that Act has that defined
meaning in this clause.
10. Term and termination
10.1 Term
This Agreement commences on the Agreement Date and continues for the Term.
10.2 Termination by Member
If the Member determines for whatever reason not to proceed with the Project; this Agreement may be determined by the
Member providing 30 days’ written notice to Top 100 Women.
10.3 Termination for breach
(a) If any party is in breach of a material term of this Agreement and the breach is capable of rectification, the other party must give the defaulting party written notice requesting that the breach be rectified within 10 Business Days (Breach Notice).
(b) If a breach of a material term of this Agreement has not been rectified within 10 Business Days of the giving of a Breach Notice, the party giving the Breach Notice may terminate this Agreement immediately by notice in writing to the other.
(c) If any party breaches a material term of this Agreement and the breach is not capable of rectification, the other party may terminate this Agreement immediately by notice in writing to the party in breach.
10.4 Termination by Top 100 Women
If the Member is or becomes Insolvent Top 100 Women may immediately determine this Agreement upon written notice
to the Member.

11. Member Terms
11.1 These Membership Terms (Terms) govern the application for Top 100 Women (Membership). It is your
responsibility to review these Terms prior to your application for a Membership. By applying for Membership, you agree to
be bound by these Terms. We reserve the right to amend these Terms at any time and will provide the most recent version
on our website.
a) Users will not use this website for any purpose or in any way which is unlawful.
12. Application for Membership
12.1 Our current Membership descriptions, entitlements and pricing will be stated on our website www.top100women.com.au
12.2 Applications for Membership must be made by filling out the form on our Website. This will create a membership account for you
12.3 All information you provide during the application process must be accurate and complete, and it is your responsibility to keep your details up to date
12.4 We will only process completed applications and reserve the right to reject an application for any reason.
12.5 It is your sole responsibility to maintain the confidentiality of any password you create for accessing your
account.
12.6 We will send you a confirmation email on payment of the applicable Membership Fee. Your Membership is
deemed accepted on the day you receive the email
13. Conduct
13.1 No responsibility or liability will be taken by Top 100 Women for disputes between Members.
13.2 Sections of the Top 100 Women website are accessible to some/all Members.
13.3 These sections include;
(a) My Profile
(b) My Community
(c) Resume Bank (only available to Corporate Members) and
(d) The Talent Room.
13.4 Members also have the ability to direct message one another.
13.5 By becoming a Member, you give authority for some or all of your profile data to be made public.
13.6 When accessing those sections, you must not:
(a) harass or abuse other Members
(b) send unwelcomed communication to other Members
(c) act in an unlawful, abusive, defamatory or discriminatory manner; or
(d) infringe the intellectual property rights of others
13.7 Should you attend a Top 100 Women Event; you must abide by our Event Terms which are available on our
Website. Without limiting the Event Terms, you acknowledge that Top 100 Women videos and photographs every event.
You consent to being filmed or photographed by Top 100 Women (or its representatives) and to Top 100 Women using
your name, likeness, image and/or voice in such photographs or films for the purpose of promoting our events, services
and products. No remuneration is payable for such use.
13.8 We may revoke your Membership for any reason, including for breach of these Terms or for bringing Top 100
Women into disrepute.
13.9 No misrepresentations allowed
You agree that it is a condition on your use of the Top100 Women Site and of any other services provided by Top100
Women or through the Site that you will not through any act or omission (including but not limited to creating a profile on
the Top100 Women Site) mislead or deceive others.
13.10 Information for personal, non-commercial use only
You agree that information contained on this Site is for personal use only and may not be sold, redistributed or used for
any commercial purpose (this includes but is not limited to the use of Corporate Members and Individual Member’s
contact details for unsolicited commercial correspondence. You may download material from this Site for your personal,
non-commercial use only, provided you keep intact all copyright and other proprietary notices. You may not modify, copy,
reproduce, republish, upload, post, transmit or distribute in any way any material from this Site including code and
software. You must not use this Site for any purpose that is unlawful or prohibited by these terms of use. You may not use
data mining, robots, screen scraping, or similar automated data gathering, extraction or publication tools on this Site
(including without limitation for the purposes of establishing, maintaining, advancing or reproducing information contained
on our Site on your own website or in any other publication), except with Our prior written consent.
14. Member Fee
14.1 Payment
(a) The Member must pay Top 100 Women the Membership fee as noted on the Top 100 Women Website, prior to Membership being issued.
(b) Once payment has been received, a receipt of a valid tax invoice from Top 100 Women will be issued to the
Member.
14.2 We may increase the Membership Fee from time to time. If we do so, we will give you at least one month’s
notice of the intended increase by email and by notice on our Website.
14.3 Minimum commitment is 12 months from initial joining date. Fees are non-refundable if you wish to cancel your
membership early.
14.4 The Membership fee should be paid prior to Membership being issued.
14.5 The amount is stipulated on the Top 100 Women Website is not be refundable.
14.6 The amount stipulated is due and payable prior to Membership being issued.
14.7 This can be paid in the form of Paypal only allowing the Member to choose the best method of payment for
them.
14.8 The Membership is automatically renewed upon the 12 Month Anniversary of the Member becoming a Member
of the Top 100 Women
14.9 The Top 100 Women reserves the right to increase Memberships from time to time. Updated pricing will be
stipulated on the website.
14.10 The Member has the option of adding additional items to their Membership; these would be processed as a once
off payment and are also non-refundable.
14.11 Job advertisements are available to be used within a 12-month period
14.12 Job advertisement are valid for a period of 30 days once posted
15. Auto Renewal
15.1 If you pay annually, your Membership will be automatically renewed each year, on the anniversary of the date
you joined Top 100 Women (Anniversary) unless you wish to terminate your membership subscription.
15.2 If you pay month by month, then after your first 12-month term has passed, your membership subscription will
continue month by month until such time you wish to terminate.
15.3 The Membership Fee for the forthcoming year will be charged to the same credit card you used on joining, unless
you specify otherwise.
15.4 If you wish to terminate your Membership, you must give us notice at least 5 days prior to the Anniversary. If we
do not receive notification from you, your Membership shall be auto-renewed and the applicable Membership Fee
payable.
15.5 Access rights
The Member:
(a) consents to Top 100 women using data for third party sites & organisations to best serve the community of the
Top 100 Women
16. Third party dealings
The Member acknowledges that the Top 100 Women will provide services to a number of Members and this is not
exclusive.
17. Liability
17.1 Top 100 Women does not warrant the accuracy, reliability or completeness of the content on the website.
The content is provided to users ‘as is’ and on an ‘as available’ basis and on the condition that users undertake all
responsibility for assessing the accuracy of the content and rely on it at their own risk. All content on the website may be
changed without notice.
17.2 Top 100 Women will have no responsibility or liability in relation to any loss or damage that users incur, including
damage to their software or hardware, arising from their use or access to this website.
17.3 Top 100 Women does not warrant that functions contained in the website content, such as hyperlinks, will be
uninterrupted or error free, that defects will be corrected or the server that makes it available, are free of viruses,
malicious computer code or bugs.
17.4 To the extent permitted by law, all other representations, conditions or warranties, whether based in statute,
common law or otherwise are excluded. Liability of Top 100 Women, for any breach of a term or condition implied by law
is limited at Top 100 Women’s discretion, to the supply of any service again or the payment for the cost of having any
service supplied again.
17.5 Users indemnify Top 100 Women, its Committee, members, officers, employees and agents against any action,
claim, loss or expense which it incurs which arises from their use of the website, including as a result of them submitting
content to the website in any form.
17.6 Exclusion of other Terms .
(a) Subject to sub-clause (b), any condition, guarantee or warranty which would otherwise be implied in this Agreement is excluded.
(b) Liability for breach of a guarantee conferred by the Australian Consumer Law (other than those conferred by ss 51 to 53 of the Australian Consumer Law) is limited to the provision of the Member Terms & the payment for a Membership with the Top 100 Women
17.7 Limitation of liability
(a) Accordingly, Top 100 Women is not liable for any negligent acts or omissions on the part of any other Members within its community, however we do take due care to ensure all its Members adhere to the Member Terms & Conditions as set out in this document.
(b) Unless otherwise required by law, Top 100 Women’s liability for damages arising from any breach of this Agreement or any issue with the Membership provided, in contract, tort or equity is limited to the amount of the Membership paid.
(c) To the maximum extent permitted by law, Top 100 Women will not be liable or responsible for any loss of profit, loss of contract, loss of goodwill, loss of opportunity or any other consequential loss incurred by the Member.
(d) The Member releases and holds Top 100 Women harmless from any loss suffered by members as a result of a Membership
(e) To the extent permitted by law, we exclude all conditions and warranties relating to your Membership.
(f) Where our liability cannot be excluded, such as in relation to Consumer Guarantees under the Australian Consumer Law or other prescribed terms under legislation, our liability for breach is limited to the Membership Fees paid by you.
(g) To the extent permitted by law, we exclude all conditions and warranties relating to your Membership.
(h) Where our liability cannot be excluded, such as in relation to Consumer Guarantees under the Australian Consumer Law or other prescribed terms under legislation, our liability for breach is limited to the Membership Fees paid by you.
18. General
18.1 These Terms and Conditions will be governed by and interpreted in accordance with the laws of Queensland.
18.2 In relation to any dispute arising out of the use of this website the user and Top 100 Women agree to irrevocably
submit to the non-exclusive jurisdiction of the courts of Queensland, Australia and courts competent to hear appeals from
those courts.
18.3 The omission of Top 100 Women to exercise any right under these Terms and Conditions will not constitute a
waiver of such right unless formally waived in writing by Top 100 Women.
19. Privacy
19.1 Personal Information provided by you during the Membership application process and throughout the duration
of your Membership will be held and dealt with in accordance with our Privacy Policy, which is available on our Website
19.2 Without limiting our Privacy Policy, you consent to your identifying details being made accessible to other
Members on our Website; and
19.3 Receiving commercial emails from us and our approved third-party providers.
19.4 You may modify the level of information available on our Website and opt-out of emails by logging into your
account settings and editing your preferences, or by notifying us directly
19.5 Members may adjust the level of their information available on our Website by logging into their accounts
settings and editing preferences.
19.6 Members have the right to opt-out of emails.
19.7 Individual Members have the option to hide their CV’s from the view of Corporate Members – this functional in
available through the Individual Member’s Dashboard.
19.8 No guarantees as to security of your information
While Top100 Women takes all due care in ensuring the privacy and integrity of the information you provide, the
possibility exists that this information could be unlawfully observed by a third party while in transit over the Internet or
while stored on Top100 Women systems or on Top100 Women’s Site. The Top100 Women disclaims all liability to you to
the greatest extent possible pursuant to law should this occur.
19.9 Your responsibility for your password and login
To become a registered user, you must provide a password and a login name. You are entirely responsible if you do not
maintain the confidentiality of your password and login name. Furthermore, you are entirely responsible for any and all
activities that occur under your login name. You may change your password at any time by following instructions. You
agree to immediately notify Top100 Women of any unauthorized use of your login name or any other breach of security
known to you.
20. Disclaimer
20.1 The material on this website is provided for general information and educative purposes in summary form. The
content does not constitute recommendations and should not be relied on as such.
20.2 While every care has been taken in the preparation of this material, Top 100 Women cannot accept responsibility

21.1 These Terms shall in respects be governed by the laws of New South Wales, Australia. You submit to the
exclusive jurisdiction of the courts in New South Wales to determine any matter or dispute which arises under these
Terms.
21.2 If any provision of these Terms is deemed invalid or unenforceable, all or part of that provision will be severed
from the Terms and will not affect the enforceability of the remaining provisions of the Terms.
21.3 No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Any failure
to assert any right under the Terms shall not constitute a waiver of such right.
21.4 These Terms constitute the entire agreement between Top 100 Women and you in relation to Membership.
21.5 Information does not represent professional advice
You acknowledge and agree that information published by Top100 Women is intended to provide general information in
summary form on market insights, legal and other issues. Top100 Women does not warrant the accuracy or completeness
of such information. Does not endorse or recommend any of the jobs posted, business or self-employment opportunities
advertised on its Site and Top100 Women strongly recommends that prior to entering into any agreement with any of the
Corporate Member Advertisers on the Site, that you obtain your own independent legal, accounting, financial or taxation
